Contractor On-Site Work Agreement

Between: Walther Arms, Umarex USA (“Company”)
And: The Contractor Name and/or Company Names listed above.

  1. Purpose

This Agreement establishes the terms and conditions under which the Contractor and its personnel may access and perform work at the Company’s manufacturing facility.

  1. Personnel & Subcontractor Disclosure
  • Contractor shall provide the Company, upon request, with a complete written list of all companies, entities, and individuals who will perform work on site under this Agreement, including:
  • All subcontractors at any tier
  • Leased personnel from staffing agencies
  • Independent contractors (1099 personnel)
  • Any affiliated or related companies under the Contractor’s control
  1. Compliance with Laws and Policies

Contractor shall comply with all applicable federal, state, and local laws, including OSHA regulations, and all Company safety, health, security, and operational rules.

  1. Safety Requirements
  • All personnel must complete the Company’s Contractor Safety Orientation prior to starting work.
  • Required personal protective equipment (PPE) must be worn at all times.
  • Work requiring permits (e.g., Hot Work, Confined Space, Lockout/Tagout) shall not proceed without proper authorization.
  • All incidents, near misses, injuries, or unsafe conditions must be reported immediately to the Company’s representative.
  1. Security & Access
  • All personnel must sign in and out daily.
  • Company-issued identification badges must be worn visibly at all times.
  • Access is restricted to authorized work areas only.
  • Photography, video recording, or removal of Company property is prohibited without prior written permission.
  1. Housekeeping & Environmental Compliance

Contractor shall maintain a clean and orderly work area, store tools and materials safely, and dispose of waste in accordance with Company environmental procedures.

  1. Insurance Requirements
  • Required Coverage
    Contractor shall, at its own expense, maintain the following insurance coverage during the term of this Agreement, issued by insurers rated A- or better by A.M. Best:
  •  Commercial General Liability Insurance
    • $1,000,000 per occurrence
    • $2,000,000 general aggregate
    • $2,000,000 products/completed operations aggregate
    • $1,000,000 personal and advertising injury
      Coverage must include premises/operations, products/completed operations, contractual liability, and broad form property damage.
  •  Workers’ Compensation & Employers Liability
    • Statutory coverage in accordance with Arkansas law (and any other applicable jurisdictions)
    • Employers Liability: $500,000 per accident, $500,000 per employee (disease), $500,000 policy limit (disease)
  • Commercial Automobile Liability
    • $1,000,000 combined single limit
    • Coverage for owned, hired, and non-owned vehicles
  • Umbrella/Excess Liability Insurance
    • $2,000,000 per occurrence
    • $2,000,000 aggregate
    • Excess over CGL, Auto, and Employers Liability
  • Special Coverage (if applicable)
    • Professional Liability: $1,000,000 per claim for design, engineering, or consulting services
    • Pollution Liability: $1,000,000 per occurrence, $2,000,000 aggregate if hazardous materials are handled
  •  Proof of Coverage
    Prior to commencing work, Contractor shall provide the Company with Certificates of Insurance evidencing the above coverage. The Company shall be named as an Additional Insured on the Commercial General Liability and Automobile Liability policies. All such policies shall be primary and non-contributory to any insurance maintained by the Company.
  1. Indemnification

Contractor shall indemnify, defend, and hold harmless the Company, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to Contractor’s performance of work under this Agreement.

  1. Termination of Access

The Company reserves the right to remove any individual from the site for unsafe behavior, failure to comply with rules, or other just cause, and to terminate this Agreement immediately if such issues persist.

  1. Acknowledgment & Acceptance

By signing below, the Contractor acknowledges that they have read, understood, and agree to comply with all requirements set forth in this Agreement.

Facility Access Agreement

Between: Walther Arms, Umarex USA (“Company”)
And: The Contractor Name and/or Company Names listed above.

  1. Purpose

The purpose of this Agreement is to ensure that all individuals entering Company facilities are legally authorized to work in the United States and are compliant with all applicable federal, state, and local employment laws.

  1. Certification of Work Authorization

The Individual/Contractor hereby certifies and represents that:

  1. They are legally authorized to work in the United States.
  2. They possess valid documentation verifying employment eligibility under applicable U.S. immigration laws.
  3. All documentation provided to verify eligibility is genuine, current, and lawfully obtained.
  4. They will immediately notify the Company if their employment authorization status changes at any time.

If the Individual is employed by a third-party contractor, the contracting company certifies that all employees assigned to perform work at Company facilities are legally authorized to work in the United States and have completed all required employment verification processes (including Form I-9 compliance, where applicable).

  1. Condition of Facility Access

Access to Company facilities is expressly conditioned upon compliance with this Agreement.

The Company reserves the right to:

  • Request verification of employment authorization as permitted by law.
  • Deny or revoke facility access if proper authorization cannot be verified.
  • Remove any individual from Company premises if found to be non-compliant with this Agreement.
  1. Indemnification

If applicable, the Contractor agrees to indemnify and hold harmless the Company from any claims, penalties, fines, or liabilities arising out of false certifications or failure to comply with employment authorization laws.

  1. Compliance with Laws

All parties agree to comply with applicable federal immigration and employment laws, including but not limited to requirements related to employment eligibility verification.
